Acceptance of Terms

These Terms of Service govern your access to and use of the SPRK application, website, and related services (the "Service") provided by SPRK Labs, LLC, a Florida limited liability company ("SPRK," "we," "us," or "our"). By creating an account, purchasing a membership, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract to use the Service or purchase a membership.

Accounts

You are responsible for the accuracy of your account information and for safeguarding your login credentials. You are responsible for all activity under your account.

Founding Spark Lifetime Membership

What "Lifetime" Means

The Founding Spark lifetime membership grants access to the Service for the operational lifetime of the SPRK product, not the lifetime of any individual user. "Lifetime" means for as long as SPRK Labs, LLC continues to operate the Service. It is not a guarantee of perpetual operation.

Scope of Lifetime Access

Founding Spark lifetime membership includes full access to the Pro service tier for the operational lifetime of the Service, subject to these Terms. For clarity, lifetime access applies to the Pro tier only and does not automatically include any separate higher tier service that may be introduced in the future.

Limited Availability

The Founding Spark offering is limited to the first 200 purchasers. Once sold out, it will not be reopened at the same price.

Features May Change

We may add, modify, or discontinue features over time. Lifetime members receive access to the Pro service as it evolves within that tier, and specific features are not guaranteed to remain unchanged.

Future Higher Tier Services

If SPRK introduces a service tier above Pro in the future, that higher tier will be a separate paid offering and is not included in Founding Spark lifetime membership. However, Founding Spark lifetime members shall be entitled to a discounted rate for such higher tier relative to the then current standard public price for that higher tier, subject to the offer terms in effect at the time.

Fair Use and Abuse Prevention

Lifetime access to Pro is provided for normal intended use. To protect service reliability, security, and other users, we may implement reasonable limits and safeguards against excessive, automated, abusive, or fraudulent activity, including temporary throttling or suspension consistent with these Terms.

Non-Transferable

Memberships are personal to you and may not be sold, assigned, or transferred without our written consent.

If the Service Discontinues

If we permanently discontinue the Service, your access will end. Refund eligibility upon discontinuation, if any, is described in our Refund Policy.

Payment

Payments are processed by our third party payment processor (Stripe). By purchasing, you authorize us and our processor to charge the applicable amount. All prices are in U.S. dollars unless stated otherwise. You are responsible for applicable taxes.

Refunds

Purchases are subject to our Refund Policy, which is incorporated into these Terms by reference. Please review it before purchasing.

Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of these Terms
  • Reverse engineer, copy, or resell the Service except as permitted by law
  • Upload malicious code or attempt to disrupt or gain unauthorized access to the Service
  • Infringe the intellectual property or privacy rights of others

Intellectual Property

The Service, including the SPRK mark, software, and content, is owned by SPRK Labs, LLC and protected by law. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for your personal or internal business use, subject to these Terms.

User Content

You retain ownership of content you submit. You grant SPRK a worldwide, non-exclusive license to host, store, and process your content solely to provide and improve the Service.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPRK LABS, LLC AND ITS MEMBERS, MANAGERS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR, FOR A LIFETIME MEMBERSHIP, THE AMOUNT YOU PAID FOR IT.

Indemnification

You agree to indemnify and hold harmless SPRK Labs, LLC from claims arising out of your misuse of the Service or violation of these Terms.

Termination

We may suspend or terminate your access for violation of these Terms. You may stop using the Service at any time. Sections that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, and dispute resolution, will survive.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to conflict of laws rules. Any dispute shall be resolved in the state or federal courts located in Florida, and you consent to their jurisdiction.

Changes to These Terms

We may update these Terms. Material changes will be posted with a revised "Last Updated" date. Continued use after changes constitutes acceptance.
